These Terms and Conditions ("Agreement") govern the use of services provided by Digi Aansh ( Aansh Associate ) ("we," "us," or "our"), an e-commerce service provider. By engaging our services, you ("Client" or "you") agree to comply with and be bound by the following terms and conditions.

    • Services Provided
      Digi Aansh offers various e-commerce solutions, including but not limited to:
      E-commerce account management (Amazon, Shopify, etc.)
      Website development and maintenance
      SEO (Search Engine Optimization)
      Social media management and marketing
      Performance marketing
      Content creation
      The scope of the services will be outlined in a separate agreement or contract specific to the service engagement.
      Client Obligations
      You must provide accurate and complete information necessary for us to perform the services. You agree to cooperate with our team in a timely manner, including providing access to platforms, resources, and information as needed. You are responsible for any third-party costs (e.g., hosting fees, advertising budgets) associated with the services unless otherwise specified in writing.
  • 3. Payment Terms
    Fees for services are outlined in the proposal or contract provided to you before the commencement of services.
    Payment is due as per the payment schedule detailed in the contract. Delayed payments may result in service suspension or termination.
    All payments are non-refundable unless otherwise stated in the contract.
    4. Confidentiality
    Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement. This includes business plans, marketing strategies, and any other non-public information.
    5. Intellectual Property
    Any intellectual property created during the service period, such as website designs, content, or marketing materials, will remain the property of Aansh Associate until full payment is received.
    Upon payment, ownership of the materials will transfer to the Client, unless otherwise agreed upon in writing.
    6. Service Modifications
    We reserve the right to modify or discontinue any part of our services at any time. However, we will provide reasonable notice for any major changes that affect the delivery of contracted services.
    7. Limitation of Liability
    We will not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
    Our total liability under this Agreement will not exceed the amount paid by you for the specific services rendered during the period in which the claim arises.
    8. Warranties and Disclaimers
    We will perform the services in a professional manner and to the best of our abilities.
    However, we do not guarantee specific outcomes such as sales increases, ranking improvements, or user engagement unless explicitly stated in the contract.
    Services such as SEO and performance marketing are dependent on third-party platforms (e.g., Google, Facebook) and are subject to their algorithms and policies.
    9. Termination
    Either party may terminate this Agreement by providing [30 days] written notice.
    We may terminate this Agreement immediately if you breach any terms of this Agreement, including failure to make payments.
    Upon termination, all outstanding payments become immediately due.
    10. Governing Law
    This Agreement will be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
    11. Dispute Resolution
    In the event of a dispute arising out of this Agreement, the parties agree to first attempt to resolve the dispute through good faith negotiations. If a resolution cannot be reached, the dispute will be submitted to binding arbitration in accordance with the rules in dehradun.
    12. Force Majeure
    We will not be liable for delays or failure to perform any obligations due to causes beyond our control, including but not limited to natural disasters, acts of war, government regulations, strikes, or supply shortages.
    13. Amendments
    We may amend these Terms and Conditions from time to time. Any changes will be posted on our website, and continued use of our services constitutes acceptance of the amended terms.
